Acquisition process
We arrange property acquisitions on behalf of investors based on documented criteria rather than opportunistic timing. Each acquisition follows a standardized process with documented decision points and input from independent advisors.
Section 01
Process overview
- 01Initial screening against the company's mandate, geography, asset type, size, and operating fundamentals.
- 02Preliminary quantitative analysis: leases, operating statements, maintenance history, and financing assumptions.
- 03Recommendation to the internal investment committee with clearly defined go/no-go criteria.
- 04Obtaining an independent market valuation from an external appraiser.
- 05Technical due diligence (condition, building systems, environmental matters) conducted by an external advisor.
- 06Legal due diligence (title, easements, leases, obligations) conducted by external legal counsel.
- 07Formation of the SPV company, presentation to investors, and a capital call supported by documented agreements. Investors are entered as equity owners in the company's register of shareholders, with registration with the Danish Business Authority in accordance with applicable rules.
- 08The SPV company's acquisition of the property and establishment of separate accounts and financing. Nordic Estates coordinates with the bank, Danish mortgage credit institution, and property administrator, and handles ongoing management.
Section 02
Decision documentation
For each acquisition, a complete decision file is archived, including the screening memorandum, valuation reports, due diligence reports, investment recommendation, meeting minutes, and final agreements. The file is available to the external auditor and qualified investors upon request.
Principle
A property is acquired only once the SPV company's investors have reviewed, approved, and funded the specific transaction.
