Identity

Nordic Estates Asset Management A/S

Registered AIFM · FT23401

Registered alternative investment fund manager (AIFM) with the Danish Financial Supervisory Authority under FT no. 23401. This entails an established framework for governance, risk management, controls, and reporting.

Organization

A structured, accountable organization.

We maintain a clear organizational separation that ensures decisions, controls, and risk management are handled independently of one another. This reduces risk and creates a transparent management model in which all processes are documented and subject to controls.

01
The board of directors

Sets strategy, the risk framework, capital reserves, and overall governance. Oversees management and approves key policies and reports.

02
Executive management

Responsible for day-to-day operations, property management, capital allocation, and conducting due diligence. Reports regularly to the board.

03
Risk management & compliance

Operates according to the Three Lines of Defence principles. Conducted independently of investment decisions, it verifies that all activities comply with the Danish Alternative Investment Fund Managers Act and internal policies.

04
External auditor & legal counsel

Established oversight providers that review financial statements, transactions, governance processes, and legal matters.

Control model

The three-line model (Three Lines of Defence).

First line
Operations and investment

Day-to-day management of properties and SPVs. This line is responsible for proper execution, documentation, and reporting.

Second line
Risk management & compliance

Independent monitoring of risk frameworks, account segregation, capital reserves, credit risk, market risk, interest rate risk, vacancy scenarios, contractual matters, and conflicts of interest. Ensures that all policies are followed and that SPVs operate under a conservative, well-defined risk model.

Third line
External audit

The external auditor verifies that financial statements, reports, and processes comply with legislation and good practice. The auditor reports directly to the board.

SPV structure

Account segregation and SPV structure.

Each property is owned through a separate special purpose vehicle (SPV). Investor funds are never held in NEAM's operating accounts and cannot be commingled with other projects. This creates clear legal and financial separation, including under stress scenarios.

  • 01Separate bank account
  • 02Separate operations
  • 03Separate capital reserves
  • 04Separate accounting
  • 05Separate collateral structure
Capital reserves

Liquidity protection for each SPV.

6 months of full operating expenses  ·  6 months of interest and principal payments on all debt.

Each SPV maintains a fixed capital reserve that exceeds market standards. This reserve ensures that the company can manage vacancy periods, delayed rent payments, interest rate risk, refinancing, and unforeseen operating expenses.

The reserve is an integral part of our risk management model and is monitored on an ongoing basis by both executive management and the board.

Alignment

Investor interests and management mandate.

Investors own equity interests in the property companies and exercise their rights under the articles of association and shareholders' agreement. Nordic Estates provides professional management on their behalf under a written mandate. Fees, decision-making authority, and reporting requirements are documented separately to ensure that management is guided by investors' interests.

All potential conflicts of interest are logged and assessed in accordance with our internal policies and Danish AIFM requirements.
