Governance framework
Three levels
- Board of directors
- Sets strategy, approves the investment mandate, and oversees executive management, risk, and compliance. The board is responsible for the company's overall compliance.
- Executive management
- Day-to-day management and operational execution within the framework established by the board.
- Independent control functions
- Risk, compliance, audit, and external administration, organizationally separate from investment management.
Decision-making sequence
Investment decisions follow a defined sequence: screening and recommendation by the investment team, risk assessment by the compliance function, review by the investment committee, board approval of the mandate, and finally capitalization of the relevant SPV following investor approval.
Direct insight into the SPV's cash flows
As a supplement to the formal governance framework, Nordic Estates offers investors in an SPV individual read-only access to the SPV's online banking. This access is strictly observational, is established through the bank's standard authorization module, and allows investors to verify rent payments, scheduled debt service payments, and liquidity on an ongoing basis without going through the manager or administrator.
This degree of openness is unusual in the industry and reflects our view of what investor protection requires in practice: not just documented governance, but also direct access to underlying cash flows for those who want it.
