Legal structure
Investors are the legal owners of equity interests in a separate Danish SPV that owns the specific property. Nordic Estates handles acquisition, financing, administration, and ongoing management on the company's behalf under a written management agreement.
Section 01
Corporate forms
- Management company
- Nordic Estates Asset Management A/S, a Danish public limited company registered as an alternative investment fund manager (AIFM) with the Danish Financial Supervisory Authority (FT23401). Provides portfolio management under a written mandate.
- SPV company
- Typically established as a Danish private or public limited company for each property. The company's sole purpose is to own and operate that property.
- Investors
- Entered as direct equity holders in the SPV's register of shareholders. Legal and beneficial owners are registered in the relevant ownership registers maintained by the Danish Business Authority in accordance with applicable rules and registration thresholds.
Section 02
Governing agreements and documents
Before contributing capital, the investor receives the following documents:
- The SPV's articles of association.
- Management agreement between the SPV and Nordic Estates Asset Management A/S.
- Shareholders' agreement among the SPV's investors.
- Investor memorandum describing the asset, operations, financing, and risks.
- Due diligence package with external assessments and reports.
Section 03
Insolvency separation
Legal ownership of the property rests with the SPV, while investors own equity interests in the company. This corporate structure separates ownership from the contractual management role. The governing agreements include provisions for replacing the manager in the event of breach or loss of registration.
