Investor rights

The structure grants investors formal rights that cannot be overridden by the manager. This is legally grounded control, not a promise of dialogue.
Section 01

Rights

Ownership
Investors directly own equity interests in the specific SPV. Ownership is documented in the company's register of shareholders; legal and beneficial owners are registered with the Danish Business Authority in accordance with applicable rules. The SPV owns the property.
Economic rights
The right to distributions and returns of capital in accordance with the rights attached to the equity interests and the specific contractual arrangements. Management fees and other expenses are disclosed separately.
Voting rights
Voting rights at the SPV's general meeting, including decisions on material transactions and replacement of the manager.
Access to information
Access to the annual report, periodic reporting, decision documentation, valuation reports, and management agreement.
Insight into operations
The ability to obtain detailed documentation on leases, maintenance plans, and financing arrangements.
Read-only online banking access
Personal, strictly observational read-only access to the SPV's online banking upon request. Investors can track incoming rent payments, scheduled debt service, and liquidity trends in real time, without the ability to transact on accounts or approve payments.
Right to file a complaint
Access to the company's formal complaints procedure and to external complaint authorities, where applicable.
Section 02

Protective mechanisms

The management agreement includes provisions for termination and replacement of the manager in the event of breach, loss of registration, or a material change in the underlying business assumptions. Investors may exercise this right collectively in accordance with the decision-making rules in the shareholders' agreement.

Section 03

Material decisions

Decisions of material significance to the SPV, including acquisition or disposal of the property, refinancing outside the established framework, and changes to the capital structure, are submitted to the general meeting of shareholders for approval. The manager acts within the parameters established by the general meeting.
