Investor onboarding

Admission as an investor in an SPV follows a defined sequence of discussions, documentation, and approvals. There is no universal admission process; each investor is admitted in relation to a specific SPV and a specific capital framework.
Section 01

Process overview

  1. 01Initial discussions to clarify the investor’s profile, investment horizon, and expectations in relation to the company’s mandate.
  2. 02Delivery of the materials package for the relevant SPV, including the investor memorandum, shareholders’ agreement, and valuation reports.
  3. 03Know-your-customer (KYC) documentation and documentation of the source of funds.
  4. 04Sanctions list screening and assessment of any politically exposed person (PEP) status.
  5. 05Signing of the subscription agreement specifying the capital contribution and terms.
  6. 06Capital call for payment into the documented SPV account.
  7. 07Entry of the investor’s equity interests in the company’s register of shareholders, registration of legal and beneficial owners with the Danish Business Authority in accordance with applicable rules, and confirmation to the investor.
Section 02

Terms

The company serves professional and semi-professional investors as well as experienced private investors. The minimum subscription amount and distribution structure depend on the specific SPV and are set out in the governing agreements.

Section 03

Read-only access to the SPV’s online banking

As part of onboarding, the investor is offered individual read-only access to the SPV’s online banking with its bank. Access is optional, strictly read-only, and established through the bank’s standard authorization module after the capital contribution has been recorded.

Read-only access allows investors to monitor incoming rent payments, scheduled debt payments, operating transactions, and liquidity in the SPV company in real time, without the ability to transact on its accounts. This reflects the transparency we consider fundamental to the relationship between manager and investor.
