Tax considerations
General framework
For Danish investors, equity interests in the SPV company are treated as shares or ownership interests in a Danish limited liability company, with dividends and capital gains taxed under the general Danish rules. For foreign investors, double taxation treaties may affect withholding tax on distributions.
The company prepares annual documentation to support investors’ own tax filings, including information on distributions, taxes withheld, and any capital gain calculations upon exit.
Typical investor profiles
- Private investor (individual)
- Taxation as share income under the Danish Capital Gains Tax Act. Dividends and realized gains are included in the individual’s share income.
- Holding company
- Tax-exempt subsidiary dividends may be available for ownership interests of 10 % or more, provided the relevant conditions are met.
- Pension assets
- Investment through a pension account depends on the individual pension provider’s product parameters and may require a separate discussion.
- Foreign investor
- Taxation and withholding tax depend on the country of residence and the applicable double taxation treaty.
Annual documentation
Together with the annual report, investors receive a consolidated tax summary for the relevant SPV company documenting the items needed for their own tax filings. Questions about specific circumstances should be directed to investor relations.
