Liquidity
Accounts for each SPV
- 01Operating account for receiving rent and paying operating expenses.
- 02Maintenance account for setting aside funds for scheduled periodic maintenance.
- 03Liquidity reserve established as part of the capital structure.
- 04Distribution account used exclusively for distributions to investors following a resolution of the general meeting of shareholders.
The manager's role
The management company has authority to transact under the management agreement but does not hold investors' funds in its own accounts. The management fee is deducted as specified in the agreement, and all transactions are documented and included in the independent audit.
Controls
- Separation of duties between transaction authorization and bookkeeping.
- Two-person approval for payments above a specified threshold.
- Monthly reconciliation and quarterly internal review.
- Banking relationships with established Danish financial institutions.
Investor read-only access to online banking
A distinctive feature of Nordic Estates is that investors in an SPV may request personal read-only access to the SPV's online banking. Access is established through the financial institution's standard authorization module and is individual to each investor.
Read-only access is strictly observational and provides real-time visibility into all transactions in the SPV's accounts: incoming rent payments, scheduled payments on Danish mortgage credit loans, operating expenses, maintenance, and distributions. Investors cannot transact on accounts, approve payments, or change master data. It is the most direct form of liquidity oversight available to an investor and a deliberate feature of the transparency standard we establish between manager and investor.
