About Nordic Estates
Nordic Estates Asset Management A/S is a Danish real estate investment manager focused on residential properties in Greater Copenhagen. The company is a registered alternative investment fund manager (AIFM) with the Danish Financial Supervisory Authority under FT number 23401.
The company’s head office is located at Bredgade 36, 1260 København K. The company is registered in Denmark under CVR number 44866889.
The company has managed properties for several years and has progressively formalized its operations as a registered manager under the Danish Financial Supervisory Authority. A brief history is provided under About us.
We manage investors’ investments in core properties in Greater Copenhagen with discipline, focusing on stable, long-term operations, low debt relative to market value, and transparent governance rather than speculative appreciation.
SPV structure & ownership
An SPV (Special Purpose Vehicle) is a separate Danish limited liability company that owns one or more specific properties. Each SPV has its own balance sheet, financing, and audit, keeping investors’ exposure separate from other SPVs and from the manager.
The SPV structure provides clear separation of assets and liabilities, simplifies financing for individual properties, and protects investors against cross-exposure between properties and companies.
Investors own the equity interests in the SPV companies, and the SPV companies own the properties. Investors’ formal ownership is documented in the company’s register of shareholders. Legal and beneficial owners are registered with the Danish Business Authority in accordance with applicable rules and registration thresholds. Nordic Estates handles acquisition, financing, and professional management under a written management agreement.
After debt service, operating expenses, and necessary reserves, available cash may be distributed to investors quarterly. Allocations follow the rights attached to the equity interests and the company’s governing agreements. Nordic Estates administers distributions on the company’s behalf, and the management fee is disclosed separately as an expense.
Investors have customary rights as holders of shares or other equity interests, along with contractual protections, including reporting, information about material decisions, and veto rights in specifically defined circumstances. See Investor rights for details.
Investment & subscription
We serve professional and qualified investors, including high-net-worth individuals, holding companies, family offices, and institutional investors that meet the applicable requirements for qualified investment.
The minimum amount is set for each SPV and disclosed in the subscription materials. It reflects the size of the individual property, its capital requirements, and the investor profile.
Onboarding follows a structured process covering an expression of interest, KYC and AML documentation, review of subscription materials, and final subscription. See Investor onboarding for the individual steps.
Documentation requirements follow the Danish Anti-Money Laundering Act and typically include identification, ownership structure, evidence of the source of funds, and beneficial ownership information. Companies must also provide corporate documentation and details of signing authority.
Investments in core properties are long-term. The typical horizon for an SPV is several years, with limited liquidity during that period. See Liquidity separation for the specific framework.
Returns, operations & debt
Each SPV is financed with investor equity and conservative borrowing, primarily through Danish mortgage credit. Nordic Estates arranges financing, negotiates terms, and manages communications with the bank and Danish mortgage credit institution on the company’s behalf. Specific terms are provided in the subscription materials.
The loan-to-value ratio is set conservatively for each property and maintained at a level that provides resilience against fluctuations in interest rates and rental income. Details are provided in the relevant subscription materials.
Operating expenses cover day-to-day management, property services, administration, and a fixed management fee paid to Nordic Estates. All expenses are itemized in the financial statements and reporting.
Distributions are made quarterly after Danish mortgage credit payments and operating expenses have been paid, provided the SPV’s liquidity and applicable law permit.
If an SPV has lower earnings in a given quarter, Danish mortgage credit payments and operating expenses take priority. Distributions are reduced accordingly, and investors are notified through regular reporting, with an explanation and an action plan.
Governance & regulation
The company is a registered alternative investment fund manager (AIFM) with the Danish Financial Supervisory Authority under FT number 23401. Registration entails established internal frameworks for governance and reporting.
Each SPV is audited by an independent Danish state-authorized public accountant. The management company is also subject to independent audit and reports in accordance with applicable accounting standards.
The company has a formal policy for managing conflicts of interest, including in related-party transactions. See Policies, Conflicts of interest for the full description.
Yes. The company has a confidential whistleblower program through which employees and external parties can report suspected violations. Details are provided under Policies, Whistleblower program.
The company’s sustainability activities follow the SFDR framework and are described in a separate sustainability policy. We prioritize renovation projects that reduce energy consumption in the existing housing stock.
Reporting, portal & taxes
Investors receive a quarterly report covering operations, financial performance, and portfolio status, as well as an audited annual report. Materials are made available through the investor portal.
The investor portal is an encrypted, restricted-access platform where investors can find contracts, reports, tax summaries, and other documents relating to their investments.
Access is established after onboarding and subscription are complete. Login details are sent to the investor’s registered email address, and access is protected by two-factor authentication.
Yes. A distinctive feature of Nordic Estates is that we offer investors in an SPV company personal read-only access to the SPV company’s online banking at its bank. Access is strictly observational: you can monitor incoming rent payments, scheduled Danish mortgage credit payments, operating transactions, and liquidity developments in real time, but you cannot transact on the accounts, approve payments, or change master data. Access is set up upon request through the bank’s standard authorization module and is individual to each investor.
It is a deliberate decision to set a higher standard for transparency than the industry norm. Quarterly reporting and audited annual reports remain the foundation of investor relations, but direct, unfiltered insight into the SPV company’s cash flows enables each investor to independently verify operations and liquidity without going through the manager or administrator.
Tax treatment depends on the investor’s domicile and legal form. Under Danish tax rules, individuals are typically taxed on share income, while holding companies may qualify for tax-exempt subsidiary dividends if the conditions are met. See Tax matters for a comprehensive overview.
Yes. A consolidated tax summary for each SPV is sent with the annual report, providing information on distributions, taxes withheld, and any gains upon exit.
